These Terms of Service ("Terms") govern your access to and use of TheSalesGrid's website and application (the "Service") provided by TheSalesGrid ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

TheSalesGrid is a B2B sales-outreach platform for building prospect lists, verifying contact details, sending outreach from your own connected mailboxes, managing replies, and reporting. We may update, add, or remove features over time.

2. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for activity under your account and for all mailboxes you connect.

3. Acceptable use & anti-spam

You agree to use the Service lawfully and only to contact business recipients with whom you have a legitimate basis to communicate. You will comply with all applicable laws, including anti-spam and data-protection laws (e.g., CAN-SPAM, GDPR, CASL), honor unsubscribe and do-not-contact requests, include required sender identification and opt-out where applicable, and not send unsolicited, deceptive, or prohibited content. You will not use the Service to harass, defraud, or send malware. We may suspend accounts that harm deliverability, violate these Terms, or abuse the Service.

4. Your content & data

You retain ownership of the data and content you upload or generate. You grant us a limited license to process it solely to provide the Service. You represent that you have the rights and lawful basis to process the contact data you use.

5. Connected mailboxes

When you connect a Google or Microsoft mailbox, you authorize us to send and read messages strictly as described in our Privacy Policy. You may disconnect at any time. Your use of Google and Microsoft services is also subject to their respective terms.

6. Credits, billing & refunds

Paid features (such as data reveals, verification, and AI usage) are billed via prepaid credits or subscription as described at checkout. Charges are in the currency shown. Except where required by law or stated otherwise, fees are non-refundable. You can cancel a subscription at any time; cancellation stops future charges.

7. Third-party services

The Service integrates third-party providers (e.g., email infrastructure, data enrichment, payment, and authentication). We are not responsible for third-party services, and their terms apply to your use of them.

8. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by TheSalesGrid and protected by law. We grant you a non-exclusive, non-transferable right to use the Service per these Terms.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee specific deliverability, reply, or revenue outcomes.

10. Limitation of liability

To the maximum extent permitted by law, TheSalesGrid will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

11. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or to protect the Service. On termination, your right to use the Service ends.

13. Changes

We may modify these Terms; material changes will be reflected by the "Last updated" date and, where appropriate, by in-app notice. Continued use after changes constitutes acceptance.
